Group Structure

The Association has two subsidiaries, “Gofal a Thrwsio Gwynedd” (J125) and “Gofal a Thrwsio Môn” (J134). Both are companies limited by guarantee and registered charities. They have operational independence through their Management Committees, which include representatives of the Association and other organisations with a particular interest in the agencies’ client group. Each subsidiary must have its annual Business Plan and Budget approved by the Association’s Board of Management. The Memorandum and Articles of both companies ensure that the Association has control over their activities by means of a majority vote at general meetings. The Association’s control is reinforced by a group procedures agreement which also commits us to providing the subsidiaries with corporate services such as management accounting, internal audit, ICT support, human resources support and the company secretary function.

A third subsidiary, ”Gorwel Cyf”, will commence operations in 2007/08. It has already been registered with Companies House and a request for charitable status is being considered by the Charities Commission. We will also be applying for Registered Social Landlord status. “Gorwel Cyf” will manage supported housing projects for women suffering from domestic violence on Anglesey and for homeless persons in Pwllheli. Cymdeithas Tai Eryri is the sole member of the company and appoints the company’s Management Committee.
